Section 45 must be read to require "issued share capital" in its company law sense; an LLP cannot issue share capital and therefore cannot satisfy the statute's association condition; the Share Transfer was not exempt under s 45 and the appeal fails.

The court found on the balance of probabilities that there was no loan or oral representations rendering the Agreement and PSPA void; the Agreement and PSPA were binding contracts; Cheng breached the implied term not to obstruct the Development by asking the Lands Department to suspend applications; consequentially Plaintiffs were not granted specific performance but were awarded damages (HKD4,368,000 to Hung and Chan; HKD2,910,000 to Ng) with interest; Cheng's counterclaim was dismissed and costs were awarded to Plaintiffs.

Both summonses were dismissed: specific discovery refused because plaintiff had filed lists and affidavit showing she did not have the documents, defendants had not demonstrated inability to obtain copies from their former solicitor nor explained necessity of the documents, and the lists described the documents as required by Order 24 RHC; leave to adduce expert evidence was refused because the disputed issues (title and special stamp duty exemption) are questions of law that do not require expert assistance. Costs awarded to plaintiff and case management directions given.
