The 2014 and 2017 agreements, read together and on their proper construction, obliged the defendant to deliver the bare-shell houses and to transfer title to the lands to the 1st Plaintiff (agent for the 2nd). The defendant breached those obligations, and having been enriched by the Sum at the Plaintiffs' expense (with no available defence), the Plaintiffs are entitled to repayment of HK$25,930,000 with interest and costs; judgment is entered for the 2nd Plaintiff accordingly.

The judge found on the evidence that there was a common intention that the house be shared between the plaintiff and the 1st defendant and that the 1st defendant contributed significantly and acted to his detriment (design, construction involvement, loans, renovations, rental management). That established a constructive trust in favour of the 1st defendant entitling him to beneficial interest and exclusive possession rights; proprietary estoppel by silence was an alternative basis. Accordingly declarations and transfer orders were granted in favour of the defendants.

The court found on the balance of probabilities that the applicant failed to prove the three required elements of a donatio mortis causa: there was insufficient evidence that the deceased was contemplating imminent death in March 1991, insufficient delivery of the indicia of title (no keys or clear transfer of dominion), and insufficient evidence that the gift was intended to be conditional/revocable until death. Accordingly the declaration was refused and the application dismissed.

The defendant breached the joint venture agreement because the oral assurances and the plans expressly referenced in the agreement (and known to the defendant) formed contractual terms (and, alternatively, an implied term or fiduciary obligation) requiring construction of full length balconies and frontal staircase access; accordingly the court ordered the defendant to perform the remedial works at her expense or to pay assessed damages and restrained transfer of the ground floor title until remedy or compensation, and awarded costs to the plaintiffs.
