The Court of Appeal (majority) held the proposed amendment was not bound to fail: given undisputed facts that no supervisory control was retained by the Plaintiff, it was at least arguable that the Plaintiff's goodwill had ceased to exist and therefore that the pleaded defence of mutual mistake and loss of goodwill was arguable; accordingly leave to amend should be granted.
