SINOSTATE ENTERPRISES LTD AND OTHERS v. KINGS PARADISE LTD AND OTHERS
- Citation
- [2024] HKCFI 1752
- Court
- Court of First Instance
- Case number
- HCA1664/2020
RHC Order 5 Rule 6 requires corporate plaintiffs to be represented by solicitors unless the Registrar grants leave for a director to act; absent such representation and absent Registrar leave the court will not permit the claims to proceed and may strike them out. Security for costs was refused because ordering it risked stifling legitimate company claims given unresolved factual disputes. Leave for a statutory derivative action under s732 was refused where it would operate to circumvent the mandatory representation requirement under Order 5 Rule 6.
