The Deed of Compromise settled the factual issue whether Chau was an unlicensed money-lender; that issue had been finally disposed of (the plaintiff's prior claim was dismissed) and the defendant, as the corporate embodiment/privy of Chau, is entitled to rely on the settlement; permitting relitigation would be a collateral attack and an abuse/harassment, therefore the plaintiff is estopped from alleging illegality and paragraph 6(3) must be struck out.
