The defendant failed to demonstrate that it was indisputably established that the Plaintiff had acquired a limited partner interest in SSI such that the fraud claim was bound to fail; disputed facts (including the 2022 Maples Register, maintenance of registers, entitlements not received and other conduct) require trial resolution.
