The court found on the totality of objective documentary evidence, inconsistencies in defendants' evidence, absence of contemporaneous supporting records and timing of Companies Registry filings that the Impugned Documents were created on or after 29 September 2022 and backdated to 12-13 September 2022 and are therefore void for want of authority; alternatively the 1st transfers, allotments and appointments were procured in breach of fiduciary duties and are voidable; CISIL and MS had knowledge and are bound; consequential declarations and costs orders follow.
