The court found the respondents' gift explanation inherently more credible and better supported by contemporaneous documents, the pattern of shareholdings, board resolutions, and the deceased's sworn positions in the earlier divorce proceedings. The deceased's untested post‑hoc assertions were outweighed by prior sworn statements, conduct, and documentary evidence. Common intention constructive trust was not available on the pleaded case. Accordingly the claimant failed to show the transfers/allotments were held on trust and the claims were dismissed.

The Court of Appeal upheld the trial judge's findings that the impugned transfer, allotment and appointment documents were created on or after 29 September 2022 and were backdated to 12-13 September 2022 (and thus void or voidable), that the judge was entitled to consider the 2019 Security Arrangement insofar as relevant to credibility and breach issues, and that any asserted error about burden of proof was immaterial because the judge positively found backdating on the evidence; accordingly the appeals were dismissed.
