The Directed Poll Vote was valid because Clause 10 granted the chairman discretion as to time and manner of taking a poll, a poll directed to a future date remains part of the original meeting, and Clause 11 does not impose a personal attendance requirement for voting by poll; therefore the Judge correctly held the Directed Poll Vote valid and there is no reasonable prospect of success on appeal.
