Transfers of VTI China’s shareholding in VTI Shanghai to Huarong and thence to the plaintiff were effective under the specialised statutory scheme governing asset management corporations and took effect on agreement notwithstanding lack of registration; the regulatory requirements not complied with were administrative rather than normative and did not void the transfers; the plaintiff, as transferee/beneficial shareholder and as person responsible for liquidation in circumstances shown, has non‑exclusive standing to sue to recover assets held on trust; appeal dismissed.
