The winding up order was rescinded because the Petitioner was not a creditor at the material time by reason of the company’s clear right of set-off arising from a much larger judgment debt, and because the Amended Petition was not served at the company’s registered office as required by rule 25; either irregularity sufficed to render the WU Order improperly obtained and justified rescission.
