The court exercised its discretion under s765(4) to restore Raison Leather Company Limited because the applicant demonstrated a bona fide potential claim, addressed the Registry's concerns (including why the prior application was discontinued and police matters), and it was just to restore the company to enable the applicant to pursue its claim.

Applicant had standing and the application was within time; notwithstanding serious dereliction of statutory duties by the directors, the Court was satisfied the company had more than a shadowy prospect of establishing value through its Wuhan subsidiary and land interests, and it was otherwise just to restore the company subject to conditions and an undertaking by the applicant to rectify statutory defaults.

Section 765 does not permit a dissolved company to be an applicant; therefore a company that has been deregistered and dissolved cannot be named as a party-applicant and must be struck out, and the court may proceed to make a restoration order on the basis of applications by qualified persons under s765.
