There was a valid tripartite stakeholder agreement: the stakeholder arrangement was clear despite absence of express time limit or arbiter because implied terms require proof within a reasonable time and the court is the expected arbiter for disputed adequacy of proof; the Applicant had not colluded with either claimant and properly sought interpleader relief and to pay the Sum into court, therefore the appeal against the grant of interpleader relief failed.
