The court held that the additional term requiring works to commence before 10 October 2002 formed part of the agreement when construed against the factual matrix; preparatory site clearance conducted shortly before the date was insufficient to constitute commencement of the substantive building works, therefore the Defendant breached the additional term. The Defendant's counterclaim for forfeiture failed. The Chinese Sales and Purchase Agreement was admissible after adjudication as not chargeable under the Stamp Duty Ordinance and the preliminary costs applications were determined accordingly.
