The defendant fulfilled its contractual obligation by procuring the Awards via Barclays PLC and the SVP/CVP committees; it was not obliged to carry the Awards through to complete vesting or to remain liable if a third party administered them. The Awards fell within the Employment Ordinance exclusion for discretionary/gratuitous bonuses on the facts pleaded. Consequently the parts of the statement of claim seeking vesting or damages from the defendant in respect of unvested benefits were bound to fail and were struck out.
