The annexure did not impose a duty on the vendor to procure the mortgage; the purchaser failed to cooperate and delayed in supplying required documents so prevented the bank from considering the loan in time; accordingly the purchaser was not entitled to rescind and the vendor was entitled to damages equal to the unpaid balance of the contract price less the deposit (HK$6,670,000) plus interest and costs.
