The SPAs are valid and binding because DDSB acted within the express authority conferred by the JVA and PA to sell Block A units, Cityvilla contracted and undertook to be bound by such acts (JVA Clauses 9.1 and 11.2), the indoor management rule protects the Plaintiffs as innocent third parties, the purchase prices were discharged by accord and satisfaction evidenced by contemporaneous Letters of Discount and Confirmation, and Cityvilla ratified the transactions by acquiescence; accordingly specific performance and LAD are ordered.

The appeal was dismissed because the appellant failed to prove the existence, authenticity and contents of exhibit P22 or that the second and third respondents authorised or approved it; absence of board resolutions and contemporaneous approvals, together with conduct of witnesses, rendered P22 an afterthought with no probative value; the Turquand rule did not apply as the appellant was an insider; admissibility under Evidence Act did not bar challenge to existence; therefore the High Court's factual findings were not perverse and dismissal was affirmed.
