The ex parte Order dated 7.5.2025 was procedurally improper because Order 30 and Section 376 of the Companies Act require inter partes appointment of a Receiver and Manager with notice to the company; alternatively, the injunctive components of the ex parte order lapsed by operation of Order 29 Rule 1(2B) and by the return date; accordingly the ex parte appointment had lapsed and the Plaintiffs' application for an ad interim order to continue the R&M was dismissed as the balance of convenience favoured refusal and reasonable undertakings by the Defendants provided adequate protection.

On the balance of probabilities the majority directors denied the Plaintiff access to company financial information and transferred substantial funds to related companies without proper authorization or contemporaneous documentation; that conduct constituted oppression under s346 Companies Act 2016 and the appropriate equitable remedy is a court‑directed buy‑out of the Plaintiff's 30% shareholding with valuation that accounts for improperly diverted funds and excludes a minority discount; the defendants' counterclaim failed procedurally and on the evidence.

The Federal Court set aside the High Court winding-up orders because the findings of illegality and statutory contraventions were not established with sufficient evidential support or nexus to the companies' corporate objects, the petitioner and key witnesses lacked credibility and the petitions were an abuse/for a collateral purpose; the court must be slow to wind up solvent companies for alleged director misconduct where alternative remedies and criminal or tax processes exist and proportionality and statutory purpose do not support dissolution.
