The transfer of the Chico shares was unlawful because it breached valid charging orders and Court of Appeal directions; the applicant was an aggrieved person under s.103 CA2016 and entitled to rectification of the register; Enclosure 1 is not an 'action' barred by s.26(2) CLA 1956 as that provision targets actions to recover sums won on a wager, and the defendants' challenge is barred by res judicata from prior adjudication in the Main Suit.

Given this Court's prior order restoring KCHSB as the 100% beneficial owner of Zung Zang, the corporate representative of the holding company was entitled to requisition the subsidiary's EGM and resolutions passed were valid and effective under ss 152A(1) and 147(6) Companies Act; the Court of Appeal erred in requiring formal rectification of the register before recognizing the ownership or the representative's powers, therefore the appeal is allowed and the High Court judgment restored.

The proposed intervener had an established interest and was denied the right to be heard; that denial amounted to a breach of natural justice and, coupled with findings of misrepresentation/abuse of process, rendered the Court's order of 21.5.2019 a nullity; accordingly the intervener's application to intervene and to set aside the order succeeds and the appeal will be reheard.
