The Court of Appeal held that the High Court erred in permitting the originating summons without prior leave of the winding-up court: leave is required for proceedings against a court-appointed liquidator and for proceedings against a wound-up company where liability is sought to be fastened; accordingly the High Court order was set aside and the respondent's originating summons dismissed.

The Court of Appeal held that where statutory provisions do not provide a remedy for alleged misconduct (including alleged contempt) by a liquidator, third parties who are not creditors or contributories may seek leave from the winding-up court under the court's inherent jurisdiction; the ex parte leave granted on 12.7.2019 was reinstated because the liquidator had an opportunity to set it aside and no irremediable breach of natural justice was shown, and the intended committal application raised sufficient prima facie issues to satisfy the low threshold of probable success for leave.

The Court of Appeal held that where the Companies Act does not provide a direct statutory remedy for alleged misconduct by a liquidator (such as alleged contempt or abuse of process), third parties may invoke the court’s inherent jurisdiction to seek leave from the Winding-Up Court to commence committal proceedings; the High Court was wrong to find no locus standi and to dismiss the leave on the basis of lack of probability of success and breach of natural justice, therefore Appeal B-02(IM)-1180 is allowed (ex parte leave reinstated) and Appeal B-02(IM)-1284 is dismissed.
