The Court of Appeal held that where the Companies Act does not provide a direct statutory remedy for alleged misconduct by a liquidator (such as alleged contempt or abuse of process), third parties may invoke the court’s inherent jurisdiction to seek leave from the Winding-Up Court to commence committal proceedings; the High Court was wrong to find no locus standi and to dismiss the leave on the basis of lack of probability of success and breach of natural justice, therefore Appeal B-02(IM)-1180 is allowed (ex parte leave reinstated) and Appeal B-02(IM)-1284 is dismissed.
