The HoA expressly provided that negotiations and any agreement to lease were 'subject to contract' and non-binding, so no contractual obligation to lease arose; Northlake failed to prove a clear and unequivocal representation by WMCL that it would unconditionally lease or reimburse costs; Northlake accepted the risk that negotiations might not produce a lease and WMCL's bona fide decision not to proceed after receiving non-negotiable commercial terms did not render it liable in quantum meruit or estoppel; accordingly judgment for defendant was required.
