On the objective evidence the solicitors' correspondence and contemporaneous communications show an offer by TDW in the 21 March letter was accepted by C&Y on 22 March 2022, without any operative condition requiring a separate deed or third party releases; the agreed terms were sufficiently certain and complete to form a binding settlement; accordingly the court ordered a stay of HCA 400 and HCCW 386 (save for enforcement of the settlement) and awarded costs as directed.
