There was a serious question to be tried that the directors may have breached their fiduciary duties by approving the disposal of the company's principal business at a substantial undervalue without adequate independent valuation or disclosure; the court therefore had jurisdiction under s350B and its inherent powers to grant an interim injunction restraining completion of the sale pending determination of the leave application for a derivative action (HCMP 841/2013).
