Defendants committed intentional breaches of two Examination Orders causing irremediable loss, but having fully purged the contempt, cooperated and shown remorse the court deemed immediate custody unnecessary; instead a fine of HK$200,000 each and indemnity costs of HK$180,000 were appropriate with bail monies to be set off against fines.

Leave to appeal was refused because the Company failed to demonstrate a reasonable prospect of success in overturning the Decision: the judge’s factual findings as to the real prospect of assets in Hong Kong and of legitimate non-asset benefits were within the range of permissible findings and not plainly wrong, and the Company’s new points lacked substance or were not raised below.

Court dismissed the appeal; held the examination and substituted service orders were valid, Order 49B is not unconstitutional, amendments to correct clerical errors could be made ex parte, lack of personal service did not render amended orders nullities, and the plaintiff received a fair rehearing; costs awarded to the 1st defendant.
