    The court was not persuaded that the plaintiff raised a serious issue to be tried that business opportunities diverted to third parties created a proprietary right to recover the full value of receivables; the real loss was the profits FEL would have made. Accordingly the court refused the interlocutory injunction to restrain dealing with receivables but accepted undertakings and a payment into court of US$58,800 representing a 3% profit margin on the contested invoices, and limited disclosure to the contracts, receipts and receivables already offered by PSG, YMH and Lam.

    The court found no triable issue because KTAL's contemporaneous correspondence withdrew the allegation of a binding agreement and later clarified that any remark by the plaintiff was personal and not intended to bind the company; the plaintiff denied any agreement; there is no evidence the plaintiff caused any loss to Kinetic; therefore the defendants have no real prospect of defending the claim and summary judgment must be entered for the plaintiff for the unpaid sum, with contractual interest and party and party costs.

    The court construed ‘Continuing Contracts’ as referring to outstanding rights, benefits and privileges under contracts as at the transfer date and held Project J0716 met that definition while not constituting a ‘Receivable’ because no ascertainable debt existed as at 31 March 2000; accordingly the Plaintiff was entitled to the HK$318,240 and interest and the defendants' counterclaims based on receivables failed.
