The application was dismissed because the shares of the adjudged bankrupt shareholders had vested in the Director General of Insolvency under the Insolvency Act 1967, ss 8(1)(b), 55(4) and 58; ss 103 and 602 of the Companies Act 2016 relate only to rectification of company records and cannot be used to effect transfer of property vested in the DGI; consequently the Sessions Court order purporting to divest the bankrupts of their shares is invalid and unenforceable without the DGI's consent.

The court held that leave under s.8(1)(a) Insolvency Act 1967 must be granted because Pencelah's claim is within the scope of s.8 and the procedural irregularity of email service did not cause substantial injustice under s.131; complex factual disputes alleged by the debtor (including backdating, duress and solicitor negligence) are matters for determination at a full civil trial and do not bar the grant of leave. Therefore permission to commence the civil action was appropriate and granted, with no order on costs.

On the evidence the JC failed to prove that the DGI had not faithfully performed duties under s87 IA 1967 on the balance of probabilities; the DGI cannot be faulted for not lodging a caveat or registering title over the Seremban land because Malay Reserve statute prevents vesting in the DGI; notwithstanding, exercising court's powers the court ordered the DGI to lodge a police report against the Administrators within one month; the remainder of the appeal was dismissed with no order as to costs.
