Summary judgment was refused. The court found plaintiffs had a compelling case of common mistake but not to the exclusion of a realistic contrary argument arising from the construction of the 2005 Confirmation and 2013 Agreement and possible trust or contract claims against the Company and unresolved implications of the Mainland judgments. Defendants demonstrated only a shadowy defence; accordingly the court granted conditional leave to defend on terms protecting the shares pending trial and ordered costs accordingly.

The Court held that the Guarantee imposed a primary and concurrent liability allowing the Bank to demand payment without prior exhaustion against the Borrower; the Bank's demand and service to the guarantor's last known address were effective under the Guarantee; the Company failed to produce credible evidence of lack of director authority, of a common intention constructive trust affecting the Bank, or of a sham; consequently there was no triable issue and summary judgment for the Bank was granted for HK$250,880,311.30 plus interest with indemnity costs to the Bank.

The defendant's non est factum defence failed because he was an adult of capacity who acted carelessly and there was no duty on the plaintiff to explain documents; there was no expert rebuttal on Singapore law and no evidence the junkets were the plaintiff's agents; the dishonoured cheque was enforceable independent of any dispute over the underlying credit, therefore partial judgment for the plaintiff on the cheque was appropriate with leave to defend only the difference between the SGD claim and the cheque amount.
